Summary

Talecris Biotherapeutics Holdings Corp (Talecris) was a biopharmaceutical company that was one of the largest producers and marketers of plasma-derived protein therapies in the world. It had facilities in North Carolina.

During the course of an unrelated review sometime prior to July 2009, Talecris discovered possible FCPA misconduct in certain Eastern European and Middle Eastern countries, and the company instituted an internal investigation into the possible misconduct. Talecris then voluntarily disclosed the investigation to the DOJ in July 2009. As the internal investigation proceeded, it expanded to a number of other countries. The internal investigation found some FCPA misconduct.

In 2011, Talecris was acquired by Grifols S.A. and shortly thereafter, Grifols presented the findings of Talecris' internal investigation to the DOJ.

In November 2012, the DOJ notified Grifols that it had concluded its investigation and declined to bring any charges against the company. The DOJ cited Grifols cooperation, compliance programs, and remedial measures as part of its decision. Despite the declination, Grifols continued to review possible misconduct. That continued investigation eventually expanded to include Mexico and the Czech Republic, but no FCPA misconduct was found in those countries.
